NDTV has received relief from the Securities and Exchange Board of India (SEBI) after the market regulator closed adjudication proceedings related to certain agreements entered into in 2009 and their disclosure requirements.

In a regulatory filing submitted to the BSE and NSE on June 2, 2026, NDTV said SEBI's Adjudicating Officer had concluded that the company did not violate the provisions of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as alleged in a show-cause notice issued earlier.

The development marks the closure of a matter that dates back to January 2020, when NDTV informed stock exchanges that it had received a show-cause notice from SEBI concerning the disclosure of certain agreements executed in 2009.

According to the company, the proceedings related to agreements involving Vishwapradhan Commercial Private Limited, RRPR Holding Private Limited and the company's then promoters. SEBI had examined whether information pertaining to these agreements should have been disclosed under applicable listing regulations.

NDTV said the Adjudicating Officer, in an order dated May 29, 2026, held that the disclosure obligation referred to in the show-cause notice did not arise under the facts and circumstances of the case. As a result, the adjudication proceedings were dismissed and no monetary penalty was imposed on the company.

The order was issued under Adjudication Order No. Order/JS/DP/2026-27/32428 on May 29, 2026, and was received by the company on June 1, 2026.

NDTV further stated that the order will have no adverse impact on its financial position, business operations or day-to-day functioning. The company emphasised that no financial liability has arisen from the proceedings and that its operations will continue unaffected.

The closure of the case brings an end to a long-running regulatory matter concerning historical disclosure obligations and removes any potential penalty exposure for the broadcaster.
