DEN Networks reappoints Anuj Jain as Director

The appointment was finalised at the 19th AGM of cable and broadband company

  • All four resolutions presented at DEN Networks Limited's 19th Annual General Meeting (AGM) on September 2, 2026, were approved by shareholders, as reported on September 3.
  • The first resolution, approving the audited standalone and consolidated financial statements for the fiscal year ending March 31, 2026, received over 99.99% support from voters.
  • Anuj Jain was reappointed as a director, with 99.89% of votes in favor of his reappointment.
  • The proposals to ratify cost auditors' fees and approve Material Related Party Transactions also passed with significant majorities of approximately 99.99% and 98.67%, respectively.

All four resolutions tabled at the 19th Annual General Meeting (AGM) of cable and broadband company DEN Networks Limited have been passed with shareholders' approval. The company informed the stock exchanges of the AGM's voting results and Consolidated Scrutinizer's Report on September 3.

The company's 19th Annual General Meeting (AGM) was held on September 2, 2026, via Video Conferencing (VC) and Other Audio-Visual Means (OAVM). A total of four resolutions were presented to shareholders at the meeting. According to Scrutinizer's report, all four resolutions passed with the required majority.

Financial Statements approved

The first proposal sought to approve the company's audited standalone financial statements for the fiscal year ended March 31, 2026, along with the Board of Directors and Auditors' report. Over 358.6 million votes were cast in favor of this proposal, while only 8,584 votes were cast against it. Approximately 99.9976% of the total valid votes were in favor of the proposal.

The second part of the first resolution approved the company's audited consolidated financial statements and auditors' report. This resolution was approved by 99.9772% of the vote, while 0.0228% voted against. This resolution also passed.

Anuj Jain appointed again

The second resolution approved the reappointment of Anuj Jain (DIN: 08351295) as a director. Jain was retiring on a rotational basis and his reappointment was proposed at the AGM.  According to the voting results, over 358.3 million votes were cast in favor of the resolution, while over 381,000 votes were cast against it. 99.8937% of the total votes cast were in favor of the resolution.

Cost auditors' fees also approved

The third proposal sought approval to ratify the remuneration of cost auditors for the fiscal year 2026-27. This proposal also received overwhelming support from shareholders. Approximately 99.9976% of the votes were in favor, while only 0.0024% voted against it.

Related Party Transactions also got approval

The fourth proposal, related to the company's Material Related Party Transactions, was also approved by shareholders. 641,584 votes were cast in favor of the proposal, while 8,636 votes were against. This means approximately 98.67% of the total votes were in favor of the proposal.

All proposals must be passed with the required majority.

The Scrutinizer report states that Resolutions 1 through 4 tabled at the AGM were all passed with the required majority. Voting on these resolutions was conducted using both remote e-voting and in-person e-voting during the AGM.

According to the company, a total of 1,49,649 shareholders were on record as of the cut-off date of August 26, 2026. 10 Promoter/Promoter Group shareholders and 198 public shareholders participated in the AGM through video conferencing.
