YAAP completes Gozoop acquisition with largest deal in independent digital agency space

Yaap Digital Ltd has successfully acquired a 60.20% stake in Gozoop Online Private Limited for a consideration of ₹36.96 Cr on March 30, 2026. The deal is pegged at more than Rs 125 crore.

This acquisition makes Gozoop Online Private Limited a subsidiary of Yaap Digital Ltd.

According to reports, Yaap Digital executed a Share Purchase Cum Shareholders’ Agreement (SPSHA) to acquire 480 equity shares, representing 60.20% of Gozoop's paid-up equity share capital.

The total acquisition cost is valued at ₹56.62 Cr, comprising ₹36.96 Cr in cash (paid), ₹7.66 Cr via share swap (under process), and ₹12.00 Cr for Excess Net Working Capital (ENCW) payable by July 2026.

The acquisition is planned in three tranches over three years, with Yaap Digital aiming to acquire 100% of Gozoop's shareholding by the end of the third tranche.

The share swap component requires approval from Yaap Digital's shareholders.
