ITC to Acquire Mother Sparsh, Strengthening Presence in Natural Baby Care Segment

ITC will invest ₹81 crore through a combination of primary subscription and secondary share purchase

In a significant move towards expanding its footprint in the natural personal care category, ITC Limited has announced the signing of definitive agreements to acquire the remaining 73.5% stake in Mother Sparsh Baby Care Private Limited. The acquisition strengthens ITC’s commitment to building a portfolio of purpose-driven, consumer-centric brands in tune with the aspirations of modern Indian consumers.

As part of this strategic investment, ITC will invest ₹81 crore through a combination of primary subscription and secondary share purchase, bringing its total investment in the brand to around ₹126 crore.

Mother Sparsh, a premium Ayurvedic and natural baby care brand, has been an associate company of ITC since 2021. Over the years, the brand has earned the trust of Indian mothers for its range of baby personal care, health and hygiene, and expert baby care solutions—all rooted in traditional Indian wisdom and powered by a digital-first approach. The brand currently operates through its own direct-to-consumer (D2C) platform as well as leading e-commerce marketplaces, achieving an annual revenue run rate of over ₹110 crore.

The acquisition aligns with ITC’s ‘ITC Next’ strategy led by Chairman Mr. Sanjiv Puri, which emphasizes building a future-ready, innovation-led portfolio and scaling up in high-growth, digital-first categories.

The acquisition is planned to be completed over a 2–3 year period, during which the Mother Sparsh team, including Founder & CEO Mr. Himanshu, will continue to lead operations.

This strategic move marks ITC’s deepening commitment to the wellness-led personal care category and its ambition to tap into the booming natural baby care segment in India.
