The Income Tax Department on Tuesday conducted coordinated searches at offices of Japanese advertising major Dentsu in India. The operation spanned multiple cities and involved scrutinizing employees' documents and electronic devices.
According to sources at Mumbai's Worli Police Division, the searches by IT officials began at 10 am at Dentsu India's Mumbai and Delhi offices and subsequently appeared to widen to other locations, including Bengaluru.
Employees at the company's Worli office in Mumbai were restricted from leaving the premises, while some staff arriving after the search began could not enter. Personal mobile phones and laptops of some employees were also taken for examination.
The scale of the operation has unsettled India's advertising and marketing industry, particularly because the search comes at a crucial point for Dentsu Group globally. India has emerged as one of the company's strongest-performing markets at a time when several of its larger international businesses continue to face pressure.
Fresh scandal or old case resurfacing?
A senior industry leader said the immediate concern was the lack of clarity regarding the action's scope. “There is a lot of speculation because Dentsu has undergone regulatory scrutiny before. The question everyone is asking is whether this is a completely new matter or whether the department found something connecting to an older investigation. Until there is an official explanation, it would be wrong to draw conclusions,” the executive said.
While the exact trigger for Tuesday's action remains unclear, people tracking the development said it would be premature to draw a direct connection between the current Income Tax search and previous regulatory actions involving Dentsu India.
The company has faced regulatory scrutiny in India previously, including an Income Tax search in 2022 and an Enforcement Directorate investigation in 2024 involving a specific business unit. Dentsu has also figured in the Competition Commission of India's scrutiny of the advertising industry after it filed leniency plea in alleged media cartel probe.
Others in the industry said the unusual intensity of the search made the development particularly unsettling for agencies and their clients.
“A search across multiple offices is bound to raise questions, especially when it involves electronic devices and senior personnel being asked to remain on the premises. The industry will want to know whether this relates to a specific transaction, a client matter, inter-company dealings or something that has surfaced from an earlier case,” said another agency executive who did not wish to be identified.
Worli police not informed
The operation at Dentsu's Mumbai office has also drawn attention because of the reported lack of prior intimation to the local police.
Dentsu India's Worli office falls under the jurisdiction of the Worli police station. Sources familiar with the matter said the local police became aware of the Income Tax search only after the operation was already under way.
The development is particularly notable because the same police jurisdiction was involved in the earlier criminal case that preceded the Enforcement Directorate's 2024 action against Dentsu Communications India, Suumaya Industries and their promoters.
However, officials have not established any connection between that case and Tuesday's Income Tax action.
The presence of employees outside the Worli office, unable to enter or communicate freely with colleagues inside, added to the unusual nature of the operation. For a large corporate office, searches involving multiple premises and the examination of employee devices can create significant disruption, particularly when they occur without prior notice to staff.
The Income Tax Department's search powers allow officials to examine books, documents and digital records as part of an investigation. The presence of officials at a company's premises, however, does not by itself establish wrongdoing, and the precise nature of the inquiry will become clearer only after the department completes its proceedings.
India becomes critical to Dentsu's global growth story
The timing of the search is particularly significant because India has increasingly become a bright spot in Dentsu Group's otherwise challenging global growth trajectory.
Dentsu's own financial disclosures show that India has been among the group's better-performing markets in 2026. In the first quarter, India was the only market in Dentsu's Asia-Pacific portfolio to record organic growth, even as the broader APAC business contracted.
The APAC segment declined 7.5% during the quarter, with major markets including Australia, China and Singapore facing declines. India, by contrast, delivered growth.
The momentum continued into the second quarter, when Dentsu placed India in its higher-growth category, alongside a limited group of markets that delivered organic growth of 5% or more.
This performance assumes greater significance against the backdrop of weakness in some of Dentsu's biggest overseas markets. The Americas, one of the group's principal revenue pools, has continued to face pressure, while the company has been undertaking a broader transformation of its global operating model.
For investors, therefore, India is no longer simply another emerging-market operation within Dentsu's global portfolio. It is increasingly becoming part of the group's argument for where future growth can come from.
Dentsu's strategic investments over the past year underline the importance the group is attaching to the Indian market.
A prolonged investigation could create operational and reputational uncertainty for an organisation that is simultaneously being positioned as a growth engine for its global parent. The potential impact would extend beyond the immediate tax issue if the investigation materially disrupts client servicing, senior management attention or employee confidence.
A history of regulatory scrutiny
The Income Tax action is the latest in a series of regulatory developments involving Dentsu's India operations in recent years.
In July 2022, the Income Tax Department searched Dentsu India's Mumbai office in connection with an investigation involving one of its clients. At the time, the company characterised the action as a routine compliance-related exercise.
Two years later, in December 2024, the Enforcement Directorate conducted searches at 19 locations across Mumbai, Delhi and Gurugram as part of a money-laundering investigation linked to an alleged ₹137-crore embezzlement case.
The ED investigation involved an alleged fraud connected to a purported Haryana government welfare programme. The agency had said it recovered cash, foreign currency and gold during its searches.
Dentsu has maintained that the matter related to fraudulent activity by third parties and former employees associated with a specific business unit. The company has also said it had itself alerted authorities about the alleged wrongdoing in 2021.
Separately, Dentsu has featured in the CCI's broader examination of competition practices in the advertising industry. The company has in some instances occupied the unusual position of providing information to regulators while facing scrutiny in other matters.
The presence of multiple regulatory agencies around the company in recent years does not, by itself, establish a common thread between the cases. Each investigation has involved different agencies, circumstances and legal frameworks.
Nevertheless, Tuesday's search is likely to put renewed focus on Dentsu India's internal compliance architecture at a time when the group is expanding its strategic ambitions in the country.
Global parent has faced scrutiny too
The scrutiny surrounding Dentsu India also comes against the backdrop of regulatory challenges faced by the group's Japanese parent.
In Japan, Dentsu and other companies were investigated over alleged bid-rigging related to contracts associated with the Tokyo 2020 Olympics. Japanese prosecutors subsequently indicted Dentsu and other companies in connection with the case.
The Olympic bid-rigging scandal became one of the biggest governance challenges faced by Japan's advertising industry and resulted in significant scrutiny of the relationships between advertising agencies, event organisers and government-linked contracts.
That history does not establish any connection to the current Indian tax search. But it forms part of the broader governance context in which Dentsu Group has been attempting to rebuild investor confidence and reposition itself globally.
The bigger question for Dentsu
The immediate question is what the Income Tax Department is looking for and whether Tuesday's operation will result in any further regulatory action.
Officials have not disclosed the entities being examined, the transactions under investigation or the specific tax years involved. It is also unclear whether the electronic devices taken from employees will form part of a wider examination of Dentsu's financial records and business practices.
For Dentsu, the stakes are potentially higher because of the strategic importance of India to its global turnaround.
The company's recent performance suggests that India has been providing a degree of growth stability at a time when the group's wider international operations remain under pressure. Dentsu has responded by investing in technology, partnerships and new offerings aimed at attracting multinational companies seeking to expand in India.
The current search therefore lands at an inconvenient moment.
If the matter remains limited to a tax investigation and is resolved without significant disruption, its long-term impact on Dentsu's India growth strategy could be limited. If, however, the search develops into a wider investigation involving material tax exposures, governance concerns or additional agencies, the implications could be considerably more significant.
For now, the key facts remain limited to the search itself. The Income Tax Department is yet to publicly explain the scope of the action, Dentsu has not issued a detailed response.
The coming days are likely to determine whether Tuesday's multi-city operation is a standalone tax investigation or the beginning of a more consequential regulatory chapter for one of India's largest advertising networks.
