RK Swamy Ltd has announced that the boards of its subsidiaries Hansa Customer Equity Private Limited (Hansa Cequity) and Dsquare Solutions Private Limited have approved a scheme of amalgamation under which Dsquare Solutions will merge with Hansa Cequity.
According to a stock exchange filing, the boards approved the scheme at separate meetings held on August 10.
Dsquare Solutions is a wholly owned subsidiary of Hansa Cequity. Hansa Cequity is a wholly-owned subsidiary of R K SWAMY Limited
RK Swamy said the merger is aimed at achieving effective control, optimal utilisation of resources, economies of scale and lower legal and regulatory compliance requirements.
The company also clarified that the merger will not result in any change in RK Swamy’s shareholding pattern, as the listed entity is not a direct party to the amalgamation.
