  • Paramount Skydance has initiated a syndication for a $7.5 billion senior secured term loan to finance its acquisition of Warner Bros Discovery.
  • This financing effort follows a settlement with a group of states and the Writers Guild of America regarding a $110 billion deal, clearing significant domestic legal obstacles.
  • The funds will be used to cover the acquisition cost and repay existing debt, alongside cash on hand and previously announced equity financing.
  • The acquisition is pending regulatory approval, with a judge set to review the consent decree, and the merger is anticipated to close in approximately two weeks, subject to court approval.

Paramount Skydance has launched a syndication for a proposed $7.5 billion senior secured term loan as part of a broader financing package for its planned acquisition of Warner Bros Discovery.

The move comes days after Paramount settled litigation with a California-led group of states and the Writers Guild of America over its proposed $110 billion deal for Warner Bros Discovery, removing key domestic hurdles to the transaction.

“Paramount intends to utilize the net proceeds of these borrowings, together with cash on hand and the net proceeds of the previously announced equity financing, to finance the purchase price for its previously announced acquisition of Warner Bros. Discovery, Inc. and the repayment of certain existing debt,” the company said.

Paramount’s proposed acquisition is now awaiting the next stage of regulatory approval.

Following the settlement with attorneys general from 12 states, a judge is scheduled to review the proposed consent decree. Subject to court approval, the merger is expected to close in about two weeks.
