At the 30th Annual General Meeting (AGM) of DB Corp Limited, a Dainik Bhaskar Group company, shareholders approved all four resolutions presented at the meeting. The company informed the stock exchanges of this on September 2, 2026.
According to the company, the AGM began at 11:30 a.m. on September 2 and continued until 12:48 p.m. Shareholders voted through remote e-voting and in-person e-voting.
All four proposals were approved.
The company stated that, based on the independent investigator's report, all four resolutions tabled at the AGM were passed with the required majority. The first resolution approved the company's audited standalone and consolidated financial results for the fiscal year ended March 31, 2026. The resolution received 159.8 million votes in favor, while only 160 votes were against. This means the resolution was approved with approximately 99.99% of the vote.
Pawan Agarwal reappointed as Director
The second resolution approved the reappointment of Pawan Agarwal as a director on a rotational basis. Approximately 152.7 million votes were cast in favor of his reappointment, while approximately 95.7 million votes were cast against. The resolution received 99.38% of the vote.
Remuneration of cost auditor also approved
The third proposal, which sought to approve the remuneration of the company's cost auditor, received approximately 160.2 million votes in favor and only 721 against. The proposal was approved with a vote share of approximately 99.9995%.
Sudhir Agarwal reappointed
The most important resolution of the AGM concerned the reappointment of Sudhir Agarwal. Shareholders approved his reappointment as the company's managing director and his remuneration. Sudhir Agarwal's new term will last for five years, from January 1, 2027, to December 31, 2031.
Approximately 152.8 million votes were cast in favor of the proposal, while approximately 79.6 million votes were cast against it. Approximately 99.48% of the total votes cast were in favor of the proposal.
How many shareholders attended the AGM?
According to company records, there were 42,349 shareholders on the record date of August 26, 2026. The AGM was attended by 12 promoter/promoter group shareholders and 66 public shareholders via video conferencing. The company stated that all four resolutions were passed with the required majority of shareholders.
