NDTV’s GoodTimes acquisition to take three more months

New Delhi Television Limited (NDTV) has provided a new update regarding its acquisition of the "GoodTimes" channel. According to the company, the deal is currently underway and may take approximately three more months to complete. NDTV is acquiring the channel from Lifestyle & Media Broadcasting Limited (LMBL).
The company has clarified that this deal will be completed only after all the necessary government and regulatory approvals are received and other conditions are met.
Earlier, the company had informed in December that it would take three months for the company to complete this deal, but now this time has been extended by about three more months.
The value of the deal has not yet been disclosed, but media reports suggest it is approximately ₹18 crore (approximately $1.8 billion). It will be completed through a business transfer agreement, and the payment will be made in cash as well as TV ad inventory.
Previously, in September 2025, NDTV's board of directors approved the acquisition of the Goodtimes channel from Lifestyle & Media Broadcasting Limited (LMBL). At that time, the company had stated that the deal would be completed in approximately three months. In the latest update, NDTV has clarified that the process is ongoing, but the time has been extended due to certain approvals.
NDTV is making this acquisition through a slump sale, meaning the channel will be purchased as a going concern. A term sheet has been signed between the two companies, and a business transfer agreement is being finalized.
According to the company, the transaction is subject to the necessary legal and regulatory approvals, and certain general conditions remain to be met. The acquisition will be finalized only after these formalities are completed.
Since LMBL is a joint venture company with NDTV, this deal falls under the category of a related party transaction. However, NDTV has clarified that the deal is being conducted on a strictly arm's length basis, in compliance with regulations, and at a fair price.
GoodTimes Channel, a lifestyle channel, was launched by NDTV in 2007, showcasing content related to lifestyle, fashion, food, and travel. In 2011, NDTV sold its stake and formed a joint venture, and in 2018, the channel was acquired by LMBL.
NDTV says the acquisition will strengthen the company's presence in lifestyle broadcasting and help grow the business.
