Zee Entertainment proposes R. Gopalan as Non-Independent Director

R. Gopalan has already been appointed as an Additional Director by the board’s Nomination and Remuneration Committee

Zee Entertainment Enterprises Limited has proposed appointing R. Gopalan as a non-executive, non-independent director, following the completion of his second term as an independent director on November 24, 2025. The proposal will be put to shareholders for approval via postal ballot.

The company, in a notice issued under SEBI regulations, said the postal ballot follows an earlier announcement made on October 16, 2025. Shareholders with email addresses registered with the company or depositories will receive the notice electronically. Members on record as of October 24, 2025, are eligible to vote.

Shareholders can cast their votes electronically through NSDL’s e-voting system from October 30, 2025, at 9:00 AM until November 28, 2025, at 5:00 PM. The results of the postal ballot will be declared by November 29, 2025.

The board has recommended the appointment as an ordinary resolution, which will take effect after approval from the Ministry of Information & Broadcasting. Gopalan has already been appointed as an Additional Director by the board’s Nomination and Remuneration Committee, effective November 25, 2025.

Gopalan is a retired senior officer of the Indian Administrative Service (IAS) with over 40 years of experience. During his career, he has served in key positions in the Ministry of Finance and the Ministry of Commerce & Industry, including Secretary of Economic Affairs and Secretary of Financial Services. He has also overseen major financial regulators such as SEBI, IRDA, and PFRDA.

Gopalan has been a board member of the Reserve Bank of India and LIC and has served as India’s alternate director at the World Bank and the Asian Development Bank.
