Zee Entertainment Enterprises Ltd (ZEEL) has received a Show Cause Notice (SCN) from the Securities and Exchange Board of India (SEBI) in connection with allegations dating back to 2019, the company said in an official statement.
According to ZEEL, the notice pertains to claims previously raised by what it described as “vested interests.” The regulator had initiated an investigation into the matter, which the company said was “unduly prolonged” and had impacted certain strategic initiatives.
Zee stated that the investigation had disrupted key corporate actions, including its proposed merger plans, resulting in losses for shareholders. While the company did not elaborate on specific financial implications, it emphasized that the extended regulatory scrutiny had materially affected its strategic roadmap.
The media conglomerate also referenced an earlier interim order issued by SEBI in connection with the allegations. ZEEL challenged that order before the Securities Appellate Tribunal (SAT), which, in an order dated October 30, 2023, quashed the interim directive.
“The Company has firmly refuted all the allegations in the past and again refutes the allegations mentioned in the SCN, against itself and the mentioned members of the Board,” Zee said in its statement.
ZEEL confirmed that it will file an appropriate response to the Show Cause Notice and expressed confidence that SEBI would conduct a fair analysis of its submissions to bring closure to what it termed a prolonged issue.
The company reiterated its commitment to maintaining high standards of corporate governance and said it would take all necessary legal steps to safeguard shareholder interests.
