Jagran Media issues notice to remove seven independent directors and a whole-time director

A major development has occurred at media company Jagran Prakashan Limited (JPL). In a filing to the stock exchange on February 12, 2026, the company informed that its holding company, Jagran Media Network Private Limited (JMNIPL), has issued a special notice to remove seven independent directors and one whole-time director.
The directors proposed to be removed by the holding company include: Divya Karani, Shailendra Swarup, Anita Nayyar, Kemisha Soni, Pramod Agarwal, Shalin Tandon and Arun Anant.
In addition, the company's full-time director, Satish Chandra Mishra, is also proposed to be removed from his position. An Extraordinary General Meeting (EGM) has been called for this purpose.
The holding company claims that these directors were not appointed properly. It alleges that the company's chairman, Mahendra Mohan Gupta, did not exercise his voting rights as directed by the JMNIPL board.
Meanwhile, Mahendra Mohan Gupta also wrote to the board on February 12, 2026, stating that the voting rights issue is already pending before the National Company Law Tribunal (NCLT), Allahabad Bench. Two separate company cases related to this dispute are being heard there.
This special notice was discussed at the board meeting held on February 12. The company's board stated that it will take whatever necessary and appropriate steps are required under the law.
