Sun TV gets NCLT nod on amalgamation of Udaya FM with Kal Radio

A Chennai bench of the National Company Law Tribunal (NCLT) has approved the Scheme of Amalgamation between Udaya FM Private Limited and Kal Radio Limited, a subsidiary of Sun TV Network.

The final amalgamated entity will be Kal Radio Limited, which will continue to operate as a subsidiary of Sun TV Network.

The company informed the stock exchanges of this development, marking a significant step in its corporate restructuring efforts.

In a letter dated 4th January 2024, Sun TV Network had communicated its intent to merge Udaya FM with Kal Radio.

The NCLT officially sanctioned the amalgamation under Sections 230 and 232 of the Companies Act, 2013, on 21st March.

The order was subsequently communicated to the company on 1st April.

The amalgamation process, as outlined in the NCLT order, has been deemed beneficial to the company and its stakeholders.

The Tribunal noted that the scheme is “prima facie beneficial to the company and will not be in any way detrimental to the interest of the shareholders or creditors.”
After ensuring that all requisite statutory compliances were met and no objections were raised, the NCLT sanctioned the scheme.

The NCLT, while approving the scheme, clarified that the order does not exempt the company from any applicable stamp duty, taxes, or other charges required by law.

Additionally, the Tribunal emphasized that if any deficiencies or violations of statutory rules or regulations are found, the sanction will not prevent legal action against the concerned persons, directors, or officials of the company.
